Fluo Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Fluo's mobile and web application, including its AI-powered curricula, text and voice tutoring sessions, and related features (the "Service"), provided by Project Quik Private Limited (“Project Quik,”, "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to create an account and use the Service. By using Fluo, you represent that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you are accessing Fluo through an institutional or partner license (e.g., a university program), additional or different terms provided by that institution may also apply.

3. Accounts

  • You must provide accurate and complete information when creating your account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must notify us promptly of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are inactive for an extended period.

4. Description of the Service

Fluo provides an adaptive language-learning experience, including:

  • AI-Generated Curricula: Personalized lesson plans generated based on the goals and context you provide.
  • Text and Voice Tutoring Sessions: Conversational practice powered by third-party AI models, including real-time voice persona calls.
  • Progress Tracking: A persistent learning profile, including a "friction log" of recurring mistakes, a personal notebook, and spaced-repetition recap scheduling.
  • Gamification Features: XP, levels, and streaks.
  • Social and Referral Features: Curriculum sharing, collaborative activities, and referral bonuses, where available.

We may add, modify, or remove features at any time, and we do not guarantee that any specific feature will remain available indefinitely.

5. AI-Generated Content Disclaimer

Fluo's tutoring, curricula, translations, corrections, and feedback are generated using large language models (including Google's Gemini models) and automated systems. While we strive for accuracy:

  • AI-generated content may contain errors, inaccuracies, culturally inappropriate phrasing, or outdated information.
  • Fluo is an educational tool and is not a substitute for professional translation, certified language proficiency testing, or legal/medical/financial interpretation services.
  • You should independently verify any critical or high-stakes translations (e.g., legal documents, medical instructions, contracts) rather than relying solely on Fluo.
  • Voice and text responses from the AI tutor do not reflect the views of Project Quik and its employees, and are generated dynamically based on your inputs and learning history.

You agree not to hold us liable for any inaccuracies, errors, or issues arising from AI-generated content.

6. Subscriptions, Purchases, and Billing

6.1 Free and Pro Plans

Fluo offers a free, ad-supported plan with limited daily usage, and a paid "Pro" subscription plan with expanded usage and additional features, as described in the app and at checkout.

6.2 One-Time Purchases ("Boosters")

Fluo offers one-time purchases (e.g., additional text or voice sessions) that provide a limited, non-renewing increase to your usage allowance, as described at the time of purchase.

6.3 Billing and Auto-Renewal

  • Subscriptions are billed in advance on a recurring basis (e.g., monthly) and automatically renew unless canceled before the end of the current billing period.
  • Purchases made through the Apple App Store or Google Play are billed and managed through those platforms, and their respective terms and refund policies apply in addition to these Terms.
  • You can manage or cancel your subscription through your app store account settings. Canceling stops future renewals but does not automatically refund the current billing period.

6.4 Price Changes

We may change subscription or booster pricing at any time. Where required by law or app store policy, we will provide advance notice of price changes affecting an active subscription.

6.5 Refunds

Except where required by applicable law or app store policy, all purchases are non-refundable. Refund requests for App Store or Google Play purchases must be directed to Apple or Google in accordance with their respective policies.

6.6 Promotional Offers

Discounted subscriptions offered through partner programs (e.g., educational or travel partnerships) are subject to the eligibility terms of that specific promotion and may convert to standard pricing upon expiration.

7. User Content

7.1 Your Content

"User Content" includes information you submit to Fluo, such as learning goals, notebook edits, chat messages, voice recordings, and shared curricula. You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display your User Content as necessary to provide and improve the Service, including generating personalized curricula and tutoring responses.

7.2 Shared Content

If you use curriculum-sharing, group activities, or collaborative features, content you choose to share will be visible to the friends or group members you share it with. You are responsible for what you choose to share.

7.3 Prohibited Content

You agree not to submit content that is unlawful, infringing, hateful, harassing, sexually explicit, or otherwise violates these Terms or applicable law, whether in chat messages, voice sessions, notebooks, or shared curricula.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models, prompts, or source code of the Service;
  • Use automated means (bots, scrapers) to access the Service or generate curricula/content at scale;
  • Circumvent usage limits, paywalls, or referral program rules, including through fraudulent referrals;
  • Harass, abuse, or attempt to manipulate the AI tutor into producing harmful, illegal, or policy-violating content;
  • Share your account credentials or resell access to the Service;
  • Interfere with the Service's operation, security, or infrastructure.

Violation of this section may result in suspension or termination of your account without refund.

9. Intellectual Property

The Service, including its software, curricula generation engine, design, trademarks, and underlying technology (excluding your User Content and third-party AI outputs), is owned by Project Quik or its licensors and is protected by intellectual property laws. Except for the limited license to use the Service as intended, no rights are granted to you in our intellectual property.

10. Third-Party Services

The Service relies on third-party providers, including:

  • Google Gemini models for AI tutoring, curriculum generation, voice conversation, and text-to-speech;
  • Google AdMob for advertising on the Free Plan;
  • Payment processors and app store billing systems for subscriptions and purchases, such as the Apple App Store or Google Play.

Your use of the Service is also subject to the applicable terms of these third-party providers where relevant (e.g., app store terms of sale). Project Quik is not responsible for the availability, accuracy, or conduct of third-party services, though we take reasonable steps to select reputable providers.

11. Referral Program

Referral bonuses (e.g., additional usage) are subject to the specific terms displayed in the app at the time of referral, generally requiring that a referred user complete curriculum generation and at least one lesson before bonuses are granted. We reserve the right to deny or claw back referral bonuses obtained through fraudulent or abusive activity.

12. Termination

  • You may stop using the Service or delete your account at any time through app settings or by contacting us.
  • We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our discretion, including discontinuation of the Service.
  • Upon termination, your right to use the Service ends immediately. Certain data may be retained as described in our Privacy Policy (e.g., transaction records for audit purposes).

13. Disclaimers

THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, CULTURALLY APPROPRIATE, OR SUITABLE FOR ANY SPECIFIC PURPOSE. FLUO IS A LANGUAGE-LEARNING TOOL, NOT A CERTIFIED TRANSLATION, LEGAL, MEDICAL, OR PROFESSIONAL INTERPRETATION SERVICE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECT QUIK AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, INCLUDING RELIANCE ON AI-GENERATED CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO FLUO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY (50) UNITED STATES DOLLARS (USD), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify and hold harmless Project Quik from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your User Content, or your misuse of the Service.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles, except where mandatory consumer protection laws of your country of residence require otherwise. Any dispute arising from these Terms or the Service will be resolved through the courts of the Republic of Singapore, except where prohibited by applicable law. If you are a consumer residing in the EU/UK, you retain the right to bring claims in your local courts and to invoke local consumer protection law.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the app or on our website and updating the "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
